Your role

Capgemini is seeking to recruit a non-contentious IT/commercial lawyer to its UK & Ireland Legal Client Operations team, with a particular focus on procurement, supplier-facing and technology supply-chain contracting.  We have a bold and creative approach to providing business solutions and are looking for a bright, talented, commercially experienced and astute IT commercial lawyer with a procurement profile.  The successful candidate will work closely with a broad range of internal stakeholders including procurement and business teams  and will advise on a wide variety of commercial issues and supplier-facing transactions, varying in nature, complexity, and value, as well as ad hoc legal and regulatory issues. The role will include supporting procurement and supplier contracting mainly related to software, reselling, SaaS and cloud services, IT services, subcontracting, outsourcing, professional services, supply contracts required for the daily functioning of Capgemini UK, and supplier-related support for RFPs and bids.

 

Your tasks

The successful candidate will support the UK&I Legal team in delivering practical, commercial legal support across a range of procurement, supplier-facing and commercial contracting activities, working closely with senior lawyers and business stakeholders. Key responsibilities will include:

  • Supporting the review, drafting and negotiation of alliance and partner contracts, procurement agreements reseller and software-related agreements, SaaS and cloud services agreements, IT services agreements, subcontracting arrangements, outsourcing and professional services agreements, supply contracts, non-disclosure agreements and selected client contracts, using approved templates and playbooks where appropriate.
  • Supporting procurement and business stakeholders on supplier RFPs, sourcing processes and supplier negotiations, including reviewing supplier terms, identifying legal and commercial risks, and helping align contract positions with internal policies and contracting principles.
  • Assisting senior lawyers on more complex client and commercial contracting matters, including preparing first drafts, reviewing contract terms, identifying key risks and escalating issues as needed.
  • Providing day-to-day legal support on standard and lower-risk contractual queries from internal stakeholders in a timely and practical manner.
  • Supporting the contract lifecycle process, including document preparation, amendment tracking, version control and coordination of internal reviews and approvals.
  • Helping to ensure that contracts are consistent with internal policies, legal guidance and contracting principles, with support from senior team members where required.
  • Working collaboratively with senior lawyers and business teams across different locations and time zones, including providing support as part of an offshore legal resource model.
  • Supporting knowledge sharing, template updates and continuous improvement initiatives within the legal team.

Additional responsibilities

  • Ancillary roles may include providing legal sign-off on deals (including through the UK & Group legal sign-off processes), attending, development and presentation of legal training courses, policy drafting, assistance with dispute resolution and working as part of the global legal team on global initiatives, which may include working on international transactions.

Your profile

  • Solid grounding in general commercial and contract law, with approximately 2–5 years’ relevant post-qualification or equivalent experience, including experience of reviewing and drafting commercial agreements preferably with regular exposure to procurement and supplier-facing technology contracts.
  • Experience of supporting work on alliance and partner contracts, procurement agreements, NDAs and client contracts with particular focus on IT procurement, software, resale, SaaS/cloud, IT services, subcontracting, outsourcing, professional services and supply arrangements.
  •  Experience supporting supplier RFPs, procurement processes or negotiations with technology vendors, subcontractors, resellers or other suppliers would be advantageous.
  • Ability to review contracts carefully, identify key legal and commercial issues and know when to seek guidance or escalate to senior lawyers.
  • Excellent written and verbal English, with the ability to communicate clearly, accurately and professionally with stakeholders.
  • Strong drafting skills and attention to detail, including the ability to work accurately with templates, mark-ups and contract amendments.
  • Good organisational and prioritisation skills, with the ability to manage a varied workload and meet deadlines.
  • A collaborative approach and willingness to work closely with senior lawyers and colleagues across different teams and geographies.
  • Commercial awareness and a practical approach to supporting the business on day-to-day procurement and contractual matters.
  • Confidence in working as part of an offshore support model, including effective collaboration across different locations and time zones.
  • Familiarity with Microsoft Office and legal technology or AI tools used to support contract review and legal service delivery.
